This recomended book has been thoroughly revised and updated to reflect the Sarbanes-Oxley Act and other developments, and is now in three-ring binder format to accomodate future annual supplements.The revised book is titled "Regulation of Securities: SEC Answer Book, Third Edition," published by Aspen Publishers.

Regulation of Securities: SEC Compliance and Practice is a useful handbook on securities compliance for public companies.The Second Edition adds a new chapter on going private transactions, and seems to expand and update the previous material fairly extensively.

The book is not an academic treatise.There are no lengthy footnotes, and no theoretical discussions about what the securities laws might be or should be.Rather, the book answers real-world questions in a straightforward manner, gives contextual background, provides illustrative examples, and points you to the most relevant primary sources if further information is required.

There are 12 chapters:

1. Introduction to securities regulation (including a section on EDGAR)

2. Periodic reporting under Sections 13(a) and 15(d)

3. Reporting of beneficial ownership under Sections 13(d) and 13(g)

4. Insider reporting under Section 16(a)

I would give this book high marks as a thorough but very readable guide to complying with SEC rules and regulations on a day-to-day basis for public corporations, corporate insiders and their counsel.
I actually like the question and answer format, which makes it fairly easy to find the exact information you are looking for.The index and tables are also well done. The other nice feature is that the book not only gives the rules and how to comply with them (for example, periodic reporting, Rule 144, short-swing profits, insider trading, etc.) but also the rationale behind the rules and historical background.
Overall, a good investment and a five-star rating.

This book is truly the most inane drivel that I have ever read. I am being forced to read it for a class. Unless you must read it at the point of a bayonnet, pass on the opportunity. The authors offer politically-correct socialization, under the guise of an exploration of modern day corporate culture. What else is new? But, this is offered via some of the most poorly-written vignettes that I have ever read. One can only guess that somebody watched a 1960s Doris Day movie, and decided to describe modern corporate culture based on that single viewing. Essentially, the book stereotypes white male "corporate" archetypes as a way of explaining them, and highlighting their many failings, while painting women and minorities as helpless victims. Mercifully, it is writtten in short vignettes, so you can read one, throw up, and read another. Truly awful!

This is a great reference for anyone who is first starting out in business or for the seasoned employee or manager who wants to know why crazy, stupid things happen at work.This is an owner's manual for your job, especially if you work for a big company.The book is laid out in a series of small stories or tales.Each tale goes on to describe an event in the life of a fictitious employee and company.The tales will ring true to anyone who has spent time in the trenches.The book then goes on to explain these events from an organizational behaviorists point of view.You will be saying..."ah hah" alot.

Ritti writes an excellent view of corporate culture explaining the "why" decisions are made and "why" people act as they do in corporate America.It really helps to put the discipline of change management into perspective.I strongly recommend this book for anyone interested in organizational behavior (American companies only).My only criticism is that there is no short and simple explanation for each of the behaviors.The reader is forced to read the entire chapter and all of the short stories in order to get an idea as to what behavior is being described.

This specialist volume deals with both open, or "galactic", clusters and globular clusters. Written for the amateur astronomer or backyard stargazer, there is loads of detailed information to assist the finding and observing of these objects. Although there are a few typos and spelling errors, these can be overlooked in respect to the wealth of information made available at such a reasonable cost. Recommended.
