Presentation Description The presentation will focus primarily on legal issues relating to trustees, plan sponsors, corporate officers and participants regarding the voting of employer shares held in a U.S. tax qualified retirement plan, such as an "ESOP" or 401(k) plan. We will outline the general fiduciary responsibility provisions under the Employee Retirement Income Security Act of 1974 ("ERISA"), governing obligations to plans and their participants. Then, the presentation will focus specifically on issues arising in the pass through to participants of proxy voting in tender offers and other corporate acquisitions of the plan's sponsor.
